Memlo

Terms of Service

Version 1.1. Effective October 22, 2026.

Thank you for using Memlo. Memlo keeps your memories in one place and lets you, and the AI apps you choose, save, search and use them. These Terms of Service ("Terms") are the agreement between you and Starkweather Digital LLC ("we", "us", "our") for your use of Memlo.

When we say "Memlo" or "the Service", we mean the website at memlo.ai, the Memlo web app, the Memlo MCP server and API, and the sign-in pages that go with them.

When we say "you", we mean the person who has a Memlo account or who uses the Service.

When we say "your content", we mean what you put into Memlo (your memories, their titles, tags and notes, and the other entries you save) and everything Memlo makes from it for you (descriptions, search data, the names and links it finds, summaries and answers).

By creating an account or using Memlo, you agree to these Terms, our Privacy Policy and our Acceptable Use Policy. These Terms limit our liability. Please read the "Warranty disclaimer" and "Limitation of liability" sections.

1. Memlo is in beta

Memlo is an early, invitation-only service. It works, but it is still changing, and it can have bugs, slow periods and outages. Features may change or go away. Don't use Memlo as the only place you keep something you can't afford to lose: export your data from time to time (see section 7).

2. Who can use Memlo

  1. You must be at least 13 years old. If you live in a country that sets a higher age for agreeing to the processing of your personal data (for example, 16 in some countries of the European Union), you must be at least that age. If we learn that an account belongs to someone under the minimum age, we will close the account and delete its data.
  2. Memlo is invitation-only right now. An invitation is for the person it was sent to. Don't share or sell it.
  3. You must be a person. Accounts created by bots or other automated means are not allowed. You may connect AI apps and agents to your own account (see section 6).
  4. If you use Memlo for an organization, you confirm that you have the authority to accept these Terms for it.

3. Your account

  1. You are responsible for keeping your password and, if you set one up, your second sign-in factor (authenticator app, passkey or security key) safe. Two-factor sign-in is available and we recommend it. We are not liable for losses caused by someone using your credentials because you did not keep them safe.
  2. You are responsible for what happens under your account, including what the AI apps you connect do with the access you give them.
  3. Tell us right away at privacy@starkweatherdigital.com if you think someone else has accessed your account.

4. Your content is yours

  1. You own your content. We claim no ownership of it.
  2. You give us a limited permission to store, copy, process and display your content only as needed to run Memlo for you: to save and search it, to make the descriptions, names and summaries you see, to back it up, to keep it secure, and to send it to the AI apps you connect. This permission ends when your content is deleted, except for copies that remain in backups for the short time described in our Privacy Policy.
  3. We do not sell your content. We do not use it to train or fine-tune AI models, and the AI model provider we use has told us it does not either (see our Privacy Policy).
  4. You are responsible for your content. You confirm that you have the right to store it in Memlo.
  5. We do not review content before it is saved. We may remove content or suspend an account that breaks our Acceptable Use Policy or the law.

5. Information about other people

People often save memories that mention other people: colleagues, clients, friends and family. Memlo can find those names and build a page for each one (only if you turn on "Find names in my memories").

  1. Only save information about other people that you have a right to keep and use. Follow the laws that apply to you, including privacy laws.
  2. Don't use Memlo to track, profile, stalk or expose anyone, and don't save other people's sensitive information (for example their health, finances, passwords or government ID numbers) unless you have a lawful reason to.
  3. People who are mentioned in your memories can contact us. Our Privacy Policy explains how we handle those requests.

6. AI features and connected apps

  1. AI-generated content can be wrong. Memlo uses AI models to write descriptions of your memories, find names in them, write summaries and answer questions about them. AI output can be incomplete, out of date or simply wrong, and it can mix up people with similar names. Check important facts against your original memories. Don't rely on AI output for medical, legal, financial or safety decisions.
  2. Connected apps. You can connect AI apps (for example Claude, ChatGPT or a coding agent) to Memlo through MCP. When you approve a connection, that app can read, search, create, change and delete your memories, as shown on the approval screen. The app's provider handles what it receives under its own terms and privacy policy, not ours. You can disconnect an app at any time from the Connected apps page.
  3. Daily AI limit. To keep costs fair, each account has a daily limit on AI model use. When you reach it, AI features (descriptions, names, summaries and AI answers) pause until the limit resets the next day. Saving and searching keep working.

7. Exporting and deleting your data

  1. You can export everything you own in Memlo at any time with "Export my data" in the web app.
  2. You can delete individual memories. You can also ask us to delete your whole account. Our Privacy Policy explains what is deleted, how fast, and what remains for a short time in backups.

8. Fees

Memlo is free during the invitation-only beta. If we start charging, we will tell you at least 30 days in advance, and you will only be charged if you agree to the new price.

9. Acceptable use

You agree to follow our Acceptable Use Policy. In short: don't break the law, don't harm or harass others, don't try to get into other people's data or our systems, and don't overload or abuse the Service.

10. Our software and brand

We (or our licensors) own the Service, including its software, design and the Memlo name and logo. These Terms do not give you any rights to them except to use the Service as described here. Don't copy, resell or offer the Service to others as your own without our written permission.

11. Feedback

If you send us ideas or suggestions, we may use them without owing you anything.

12. Suspension and termination

  1. You can stop using Memlo at any time and ask us to delete your account.
  2. We may suspend or close your account if you break these Terms or the Acceptable Use Policy, if your use puts the Service or other people at risk, or if the law requires it. Where it is safe and lawful, we will tell you why and give you a chance to export your data first.
  3. Abusive behavior toward the people who run Memlo (including threats) will result in immediate account closure.
  4. Sections 4.4, 10, 11, 14, 15, 16 and 18 continue to apply after your account is closed.

13. If Memlo shuts down

If we decide to shut Memlo down, we will:

  1. tell you by email at least 60 days before the shutdown date;
  2. keep "Export my data" working until that date; and
  3. after the shutdown date, delete all accounts and content, including backups, within 30 days.

If the company or Memlo is acquired by or merged into another company, we will tell you before your data is transferred, and the new owner must keep the promises in our Privacy Policy for the data it receives, or give you the chance to export and delete your data first.

14. Warranty disclaimer

Memlo is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted, secure or error-free. We don't guarantee that AI-generated content is accurate.

15. Limitation of liability

To the fullest extent the law allows:

  1. we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or use, arising out of or related to the Service or these Terms, even if we were told such damages were possible; and
  2. our total liability for any claim arising out of or related to the Service or these Terms is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim and (b) US $100.

Some places don't allow these limits. Where that is the case, they apply only as far as the law allows.

16. Indemnity

If someone brings a claim against us because of your content or because you broke these Terms or the law, you agree to cover our reasonable costs of that claim, including reasonable legal fees, to the extent the law allows.

17. Changes to these Terms

  1. Every version of these Terms has a version number and an effective date, shown at the top. We keep every past version available on our website: version 1.0 (October 22, 2026).
  2. For a change that matters (for example, one that reduces your rights or changes how we use your data), we will tell you by email and in the app at least 30 days before it takes effect. Where the law or the change requires it, we will ask you to accept the new version before you keep using Memlo. If you don't agree, you can export your data and close your account before the change takes effect.
  3. Small changes (fixing typos, making wording clearer, or changes required by law on short notice) may take effect when we publish them.

18. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Colorado, and you and we agree to those courts' jurisdiction. If you are a consumer in a country whose laws give you the right to bring claims in your home courts or under your home country's laws, nothing here takes that right away.

19. Everything else

  1. These Terms, the Privacy Policy and the Acceptable Use Policy are the whole agreement between you and us about Memlo.
  2. If a court finds part of these Terms unenforceable, the rest stays in effect.
  3. If we don't enforce a right right away, we have not given it up.
  4. You may not transfer your account or these Terms to someone else. We may transfer them as part of a merger, acquisition or sale of the Service, as described in section 13.
  5. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.
